These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GLOBAL LEADERS COLLECTIVE, LLC, a Wyoming limited liability company doing business as JenGen.ai ("Company," "JenGen," "we," "us," or "our"). These Terms govern your access to and use of the JenGen.ai website, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

The Services are intended for individuals who are at least thirteen (13) years of age. If you are under eighteen (18) years of age, you may only use the Services with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

You shall use the Services only in compliance with applicable law. You shall not:

• Engage in harassment, threats, discriminatory conduct, or exploitation of others.
• Post or transmit unlawful, defamatory, infringing, or harmful material.
• Attempt to circumvent or interfere with the security or operation of the Services.
• Reverse engineer, decompile, or otherwise attempt to derive source code from the Services.
• Use the Services to engage in fraudulent, speculative, or otherwise prohibited activities.

Company may, in its sole discretion, suspend or terminate your access for violations of these Terms.

The Services may enable you to connect a non-custodial blockchain wallet and to interact with public blockchain networks. You acknowledge and agree that:

(a) The Company does not custody wallets, store private keys, or act as a broker, exchange, or investment adviser. You are solely responsible for safeguarding your wallet credentials.

(b) Transactions executed on blockchain networks are permanent, public, and immutable. The Company cannot alter, delete, or obscure blockchain records. You shall not transmit personal or sensitive information via blockchain transactions.

(c) You are solely responsible for all associated network fees ("gas") and assume all risks related to blockchain use, including key loss, smart contract failures, network disruptions, or chain reorganizations.

(d) Nothing provided by the Company shall be construed as investment, legal, or financial advice.

You retain ownership of all content that you submit to the Services ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to host, process, reproduce, display, and distribute such User Content solely to provide and improve the Services.

The Services may utilize artificial intelligence models to generate outputs based on your inputs. You acknowledge that AI outputs may be inaccurate or incomplete and are provided "as is." AI outputs shall not be relied upon as professional, legal, financial, or medical advice.

All intellectual property in the Services, including but not limited to software, designs, trademarks, and content, is owned by the Company or its licensors. No rights are granted to you except as expressly provided herein.

If you believe that material on the Services infringes your copyright, you may submit a written notification in accordance with the Digital Millennium Copyright Act ("DMCA") to:

Upon receipt of a valid DMCA notice, the Company will promptly remove or disable access to the allegedly infringing material.

Certain Services require payment of fees. Subscription terms, pricing, and renewal policies will be presented at the time of purchase. Unless otherwise stated, subscriptions automatically renew until canceled. You may cancel by following the instructions in your account settings or by contacting support@jengen.ai. Refunds will be issued only as required by law or as expressly stated in our refund policy.

The Company may terminate or suspend access to the Services at any time, with or without cause, including for violations of these Terms. Upon termination, the rights and licenses granted to you shall cease immediately.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THE SERVICES. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, or expenses arising from your use of the Services, your User Content, or your violation of these Terms.

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association ("AAA"), conducted in Sheridan, Wyoming. You waive any right to participate in a class action or class-wide arbitration to the fullest extent permitted by law.

These Terms constitute the entire agreement between you and the Company regarding the Services. If any provision is held invalid, the remaining provisions shall remain in full force. The Company's failure to enforce any right or provision shall not constitute a waiver. Neither party shall be liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, or governmental action ("force majeure").
